AthenaMint was founded to make security, utility, and real world asset token offerings filing with EDGAR simple and easy and to provide high-quality SEC form drafts for founders, businesses, issuers, law firms, and their clients.

These Terms of Use constitute a legally binding agreement between you ("User," "you," or "your") and AthenaMint ("Company," "we," "us," or "our"). These terms, along with any documents incorporated by reference (collectively, "Terms"), govern your access to and use of www.athenamint.ai  including all content, features, and services provided through the website (the "Site"), whether as a guest or registered user.

By accessing or using the Site, or by clicking to accept these Terms when prompted, you agree to be bound by these Terms and our Privacy Policy, located, which is incorporated herein by reference. If you do not agree with these Terms or the Privacy Policy, you must not access or use the Site.

The Site is intended for users who are at least 18 years old. By using the Site, you represent and warrant that you are of legal age to enter into a binding contract with the Company and meet all eligibility requirements. Additionally, you agree not to:

• Use the Site in a way that could disable, overburden, damage, or impair it, or interfere with others' use, including real-time activities.
• Use robots, spiders, or other automated means to access the Site for any purpose, including monitoring or copying content, without our prior written consent.
• Use manual processes to monitor or copy Site content for unauthorized purposes without our prior written consent.
• Introduce viruses, trojan horses, worms, logic bombs, or other malicious or harmful material.
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the Site, its hosting server, or connected systems.
• Attack the Site via denial-of-service or distributed denial-of-service attacks.
• Otherwise interfere with the proper functioning of the Site.

The Site may include interactive features such as message boards, forums, or profiles (collectively, "Interactive Features") that allow users to post, submit, publish, or display content or materials (collectively, "User Content") on or through the Site.

All User Content must comply with the Content Standards outlined below. By submitting User Content, you represent and warrant that:

• You own or have the necessary rights to your User Content and grant the Company and its affiliates a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, display, and distribute it in connection with the Site.
• Your User Content complies with these Terms.
• You are solely responsible for the legality, accuracy, and appropriateness of your User Content.

The Company is not responsible or liable to any third party for the content or accuracy of User Content posted by you or other users.

We reserve the right to:

• Remove or refuse to post any User Content at our sole discretion, with or without reason.
• Take action regarding User Content we deem necessary, including if it violates these Terms, infringes intellectual property or other rights, threatens user safety, or creates liability for the Company.
• Disclose your identity or related information to third parties claiming that your User Content violates their rights, including intellectual property or privacy rights.
• Pursue legal action, including referral to law enforcement, for illegal or unauthorized Site use.
• Terminate or suspend your access to all or part of the Site for any reason, including violations of these Terms.

We may cooperate with law enforcement or court orders requesting disclosure of information about users posting on the Site. You waive and hold harmless the Company, its affiliates, and service providers from claims arising from actions taken during or as a result of investigations by us or law enforcement.

We do not review all User Content before posting and cannot guarantee immediate removal of objectionable content. We assume no liability for any action or inaction regarding user or third-party content.

User Content and use of Interactive Features must comply with all applicable laws and regulations. User Content must not:

• Be defamatory, obscene, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
• Promote sexually explicit material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
• Infringe any patent, trademark, trade secret, copyright, or other intellectual property or proprietary rights.
• Violate others' legal rights, including publicity or privacy rights, or create civil or criminal liability under applicable laws.
• Be deceptive or misleading.
• Promote illegal activities or assist in unlawful acts.
• Cause annoyance, inconvenience, or anxiety, or be likely to upset, embarrass, or alarm others.
• Impersonate any person or misrepresent your identity or affiliation.
• Involve commercial activities, such as contests, promotions, or advertising, without our consent.
• Suggest endorsement by the Company or others when none exists.

If you believe User Content infringes your copyright, please follow our Copyright Policy at [Your Copyright Policy URL] to submit a notice of infringement. The Company may terminate accounts of repeat infringers.

These Terms and any disputes or claims arising from or related to them or the Site (including non-contractual disputes) are governed by the internal laws of the State of Maryland without regard to conflict of law principles.

Any legal action or proceeding related to these Terms or the Site must be brought exclusively in the federal or state courts of Maryland. You waive objections to jurisdiction or venue in these courts.

At our discretion, we may require disputes arising from these Terms or your use of the Site—including issues related to interpretation, violation, invalidity, non-performance, or termination—to be resolved through final and binding arbitration under the Rules of Arbitration of the American Arbitration Association, applying Maryland law in the City of College Park, MD.

Any claim or cause of action related to these Terms or the Site must be filed within one (1) year after the cause of action arises, or it will be permanently barred.

No waiver by the Company of any term in these Terms constitutes a continuing waiver of that term or any other term. Failure to enforce a provision does not waive it.

If any provision of these Terms is deemed invalid, illegal, or unenforceable by a court, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full effect.

These Terms, together with our Privacy Policy and Terms of Sale, constitute the entire agreement between you and Token Capital regarding the Site, superseding all prior or contemporaneous agreements, representations, or warranties, written or oral.

The Site is operated by Token Capital, located in Maryland.
